VaultaPay Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the VaultaPay platform, website, mobile applications and related services ("Services") provided by VaultaPay Solutions FZC LLC, having its registered office at:

By creating an account, accessing or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

1. About VaultaPay

VaultaPay is a financial technology platform providing access to business and personal payment solutions, multi-currency accounts, international payment services, foreign exchange services and digital asset services where available.

VaultaPay operates through the financial infrastructure of Swiss Fiat AG. Certain regulated financial services available through the platform are provided by Swiss Fiat AG and its authorised service providers.

Nothing contained within these Terms should be interpreted as creating a banking relationship between you and VaultaPay.

2. Definitions

For the purposes of these Terms:

Account means your registered VaultaPay account.

Business Customer means any company, partnership, sole trader or other legal entity using the Services.

Business Day means any day other than a Saturday, Sunday or recognised public holiday where relevant payment systems are operational.

Customer means any individual or business registered with VaultaPay.

Digital Assets means supported cryptocurrencies or blockchain-based digital assets available through the platform.

IBAN means an International Bank Account Number allocated through the platform where available.

Personal Customer means an individual using the Services for personal purposes.

Platform means the VaultaPay website, applications and associated systems.

Services means the payment, account, currency exchange and digital asset services made available by VaultaPay.

User, you and your refer to the registered customer.

3. Scope of Services

Subject to successful onboarding and ongoing compliance requirements, VaultaPay may make available one or more of the following services:

  • Business Accounts
  • Personal Accounts
  • Multi-Currency Accounts
  • Virtual IBANs
  • Dedicated IBANs
  • Local Payment Services
  • International Payments
  • SEPA Transfers
  • SEPA Instant Payments
  • SWIFT Payments
  • Faster Payments (where available)
  • Currency Exchange
  • Crypto Wallet Services
  • Buy and Sell Digital Assets
  • Payment Collection Services
  • Business Payment Solutions

Not every Service will be available in every jurisdiction or to every customer.

The availability of Services may change from time to time due to operational, legal or regulatory requirements.

4. Eligibility

To use the Services you must:

  • be at least eighteen (18) years old;
  • have legal capacity to enter into binding agreements;
  • provide complete and accurate information;
  • successfully complete any identity verification required;
  • comply with all applicable laws.

Business Customers must ensure that the individual opening the account has full authority to bind the business.

VaultaPay reserves the right to refuse applications at its discretion where permitted by applicable law.

5. Account Registration

To access the Services you must create an Account.

You agree to provide accurate, complete and current information during registration and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials.

You must not:

  • share your password;
  • allow another person to access your account;
  • create multiple accounts to circumvent restrictions;
  • impersonate another individual or organisation.

You remain responsible for all activity conducted through your Account.

If you believe your Account has been compromised, you must notify VaultaPay immediately.

6. Identity Verification

Before providing access to Services, VaultaPay may require identity verification and business verification procedures.

Verification may include:

  • government-issued identification;
  • proof of residential address;
  • company registration documents;
  • proof of directors and beneficial owners;
  • tax information;
  • source of funds documentation;
  • source of wealth information;
  • additional supporting documentation where required.

Verification requirements may change at any time in accordance with legal or compliance obligations.

Failure to provide requested documentation may result in delayed onboarding, suspension or closure of your Account.

7. Business Customers

Business Customers may be required to provide additional information including:

  • Certificate of Incorporation
  • Articles of Association
  • Register of Shareholders
  • Register of Directors
  • Ultimate Beneficial Owner information
  • Business activity details
  • Financial information
  • Expected transaction volumes
  • Operating jurisdictions

VaultaPay may request updated information periodically to ensure ongoing compliance.

8. Personal Customers

Personal Customers must provide accurate personal information during onboarding.

Where required, additional documentation may be requested to verify identity, address or source of funds.

Customers are responsible for ensuring all submitted information remains accurate and current.

9. Ongoing Due Diligence

VaultaPay may conduct ongoing reviews of customer accounts throughout the relationship.

This may include requests for updated documentation, transaction information or additional verification.

Failure to cooperate with reasonable requests may result in restrictions on the Services or closure of the Account.

10. Account Security

You are responsible for protecting your Account and devices.

You agree to:

  • use strong passwords;
  • enable available security features;
  • keep authentication codes confidential;
  • notify VaultaPay immediately of suspected unauthorised access.

VaultaPay will never request your password by email or telephone.

11. Communications

By creating an Account you agree that VaultaPay may communicate with you electronically.

Communications may include:

  • account notifications;
  • verification requests;
  • payment confirmations;
  • security alerts;
  • service updates;
  • legal notices.

Electronic communications satisfy any legal requirement that communications be made in writing.

12. Availability of Services

VaultaPay aims to provide continuous access to the Services but does not guarantee uninterrupted availability.

Maintenance, security updates, technical issues or events beyond reasonable control may temporarily affect availability.

VaultaPay may suspend or limit access where necessary to protect customers, comply with legal obligations or maintain platform security.

13. Changes to Services

VaultaPay may introduce, modify or discontinue Services from time to time.

Where changes materially affect customers, reasonable notice will be provided where practicable.

Continued use of the Services after such changes constitutes acceptance of the updated Terms.

VaultaPay Terms & Conditions (Part 2)

14. Business Accounts

Business Accounts are intended solely for legitimate commercial activities.

Business Customers may use their Account to:

  • Receive payments.
  • Send domestic and international payments.
  • Hold supported currencies.
  • Exchange supported currencies.
  • Access payment collection services where enabled.
  • Access digital asset services where activated.

Business Customers remain solely responsible for ensuring that all transactions are lawful and properly authorised.

VaultaPay may request additional information regarding business activities, counterparties or individual transactions at any time.

15. Personal Accounts

Where available, Personal Accounts may be used for lawful personal financial transactions.

Personal Accounts must not be used:

  • for commercial payment processing unless expressly permitted;
  • on behalf of third parties;
  • for anonymous transactions;
  • for unlawful activities.

Customers remain responsible for all activity conducted using their Account.

16. Multi-Currency Accounts

Customers may hold balances in supported currencies.

Available currencies may change without prior notice.

Holding funds in multiple currencies does not protect against exchange rate movements.

VaultaPay may introduce, suspend or discontinue supported currencies where operational, commercial or legal considerations require.

17. Virtual and Dedicated IBANs

Eligible Customers may receive one or more Virtual or Dedicated IBANs.

IBANs are provided solely for receiving and sending legitimate business or personal payments through the Services.

Customers must not:

  • allow unrelated third parties to use their assigned IBAN;
  • advertise their IBAN for unlawful purposes;
  • use an IBAN to facilitate prohibited activities;
  • misrepresent ownership of an assigned IBAN.

VaultaPay reserves the right to change or withdraw assigned IBANs where necessary.

18. Payment Services

VaultaPay enables Customers to initiate and receive supported payment transactions.

Payment services may include:

  • Domestic payments
  • International payments
  • Payment collection
  • Payment processing
  • Scheduled payments
  • Beneficiary management

Execution times depend upon:

  • payment rails;
  • correspondent institutions;
  • compliance checks;
  • receiving institutions;
  • cut-off times;
  • public holidays.

VaultaPay cannot guarantee that every payment instruction will be completed within a specific timeframe.

19. SEPA Payments

Where available, Customers may send and receive Single Euro Payments Area (SEPA) transfers.

SEPA transactions remain subject to:

  • compliance screening;
  • payment system availability;
  • operational requirements;
  • receiving institution processing.

VaultaPay may reject or delay SEPA payments where additional verification is required.

20. SEPA Instant

Where available, eligible payments may be processed through SEPA Instant.

Availability depends upon:

  • participating institutions;
  • transaction limits;
  • technical availability;
  • fraud prevention controls.

Not every payment qualifies for instant processing.

21. SWIFT Payments

Customers may access international payment services through the SWIFT network where available.

International transfers may involve intermediary institutions.

VaultaPay is not responsible for:

  • intermediary institution charges;
  • exchange rate fluctuations;
  • delays caused by receiving institutions;
  • additional compliance reviews performed by correspondent institutions.

22. Faster Payments

Where supported, Faster Payments may be available for eligible transactions.

Transaction limits and eligibility requirements may apply.

Processing remains subject to operational availability and fraud prevention controls.

23. Currency Exchange

Customers may exchange supported currencies using exchange rates available through the Platform.

Exchange rates may change continuously due to market conditions.

Unless a rate has been expressly confirmed for a transaction, displayed exchange rates are indicative only.

Completed exchanges cannot ordinarily be reversed once executed.

VaultaPay may apply transaction fees or exchange margins as disclosed within the Platform.

24. Digital Asset Wallet Services

Where enabled, Customers may access hosted digital asset wallet services.

Supported Digital Assets may change from time to time.

Customers acknowledge that blockchain transactions:

  • may be irreversible;
  • may experience network delays;
  • depend upon third-party blockchain networks;
  • cannot always be recovered if incorrect wallet details are used.

VaultaPay may suspend support for specific Digital Assets where necessary for legal, security or operational reasons.

25. Buying and Selling Digital Assets

Eligible Customers may purchase or sell supported Digital Assets through the Platform.

Pricing is determined at the time an order is executed.

Execution may depend upon:

  • liquidity;
  • market conditions;
  • transaction size;
  • compliance reviews;
  • operational availability.

VaultaPay does not guarantee execution of every order.

26. Customer Instructions

Customers are responsible for ensuring all payment instructions are accurate before submission.

VaultaPay may rely upon the information provided by the Customer.

VaultaPay shall not be responsible for losses arising from:

  • incorrect beneficiary details;
  • incorrect wallet addresses;
  • duplicate payment instructions;
  • customer error;
  • unauthorised access resulting from compromised credentials.

27. Transaction Monitoring

To comply with applicable legal and compliance obligations, VaultaPay may monitor transactions conducted through the Platform.

Monitoring may include:

  • automated screening;
  • manual review;
  • sanctions screening;
  • fraud detection;
  • transaction pattern analysis;
  • requests for additional information.

Transactions may be delayed while reviews are completed.

28. Restricted Activities

Customers must not use the Services for activities including, but not limited to:

  • fraud;
  • money laundering;
  • terrorist financing;
  • sanctions evasion;
  • identity theft;
  • phishing;
  • cybercrime;
  • child exploitation;
  • human trafficking;
  • illegal gambling;
  • unlawful sale of controlled goods;
  • intellectual property infringement;
  • tax evasion;
  • deceptive or misleading commercial practices.

VaultaPay reserves the right to refuse or terminate Services where prohibited activities are suspected.

29. Compliance Requests

Customers agree to provide additional information requested by VaultaPay within a reasonable period.

Information may include:

  • invoices;
  • contracts;
  • proof of ownership;
  • proof of source of funds;
  • supporting documentation;
  • explanations relating to transactions.

Failure to respond may result in:

  • delayed transactions;
  • account restrictions;
  • suspension;
  • termination of Services.

30. Fees

Certain Services may be subject to fees.

Applicable fees will be disclosed through the Platform, customer agreements or published fee schedules.

Fees may include:

  • account fees;
  • payment fees;
  • currency conversion charges;
  • digital asset transaction fees;
  • withdrawal fees;
  • administration charges.

VaultaPay reserves the right to amend fees by providing reasonable notice where practicable.

31. Taxes

Customers remain solely responsible for determining and meeting their own tax obligations arising from use of the Services.

VaultaPay does not provide tax advice.

Customers should seek independent professional advice where required.

32. Record Keeping

Customers should retain copies of payment confirmations, invoices and supporting documentation for their own records.

VaultaPay may make transaction history available through the Platform, although historical information may be subject to retention periods and operational limitations.

VaultaPay Terms & Conditions (Part 3 – Final)

33. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not:

  • use the Services to facilitate illegal activities;
  • submit false or misleading information;
  • attempt to gain unauthorised access to the Platform or associated systems;
  • interfere with the security or operation of the Platform;
  • introduce malicious software, viruses or harmful code;
  • reverse engineer, decompile or attempt to extract the source code of the Platform, except where permitted by applicable law;
  • use automated tools or scripts to access the Platform without prior written permission;
  • infringe the intellectual property rights of VaultaPay or any third party.

VaultaPay reserves the right to investigate suspected misuse of the Services and to take appropriate action, including restricting or terminating access.

34. Fraud Prevention

VaultaPay maintains systems designed to detect and prevent fraud.

Where suspicious activity is identified, VaultaPay may:

  • request additional information;
  • delay or refuse transactions;
  • temporarily suspend access to the Account;
  • report activity to competent authorities where legally required.

Customers agree to cooperate fully with any fraud prevention or security investigation.

35. Suspension of Services

VaultaPay may suspend or restrict access to some or all Services where it reasonably considers it necessary to:

  • comply with legal or regulatory obligations;
  • protect the security of the Platform;
  • prevent fraud or financial crime;
  • investigate suspected breaches of these Terms;
  • respond to court orders or lawful requests from competent authorities;
  • protect other customers or service providers.

Where practicable, VaultaPay will notify the Customer of any suspension and the reasons for it, unless prohibited by law or where doing so would compromise security or an investigation.

36. Termination

Customers may close their Account at any time by contacting VaultaPay Support.

VaultaPay may terminate an Account by providing reasonable notice where appropriate.

Immediate termination may occur where:

  • false information has been provided;
  • the Customer has materially breached these Terms;
  • fraudulent or unlawful activity is suspected;
  • required verification information is not provided;
  • continued provision of the Services would expose VaultaPay or its service providers to legal, operational or compliance risk.

Termination does not affect any rights or obligations that accrued prior to the termination date.

37. Dormant Accounts

Accounts that remain inactive for an extended period may be classified as dormant.

VaultaPay may contact the Customer to verify whether the Account should remain open.

Dormant Accounts may be subject to administrative measures or closure in accordance with applicable legal requirements.

38. Intellectual Property

The VaultaPay name, logo, website, software, content, graphics, documentation and associated intellectual property remain the exclusive property of VaultaPay Solutions FZC LLC or its licensors.

Nothing contained within these Terms transfers ownership of any intellectual property rights to the Customer.

Customers are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its intended purpose.

39. Third-Party Services

Certain Services may involve third-party technology providers, payment systems, banking partners, blockchain networks or other service providers.

VaultaPay is not responsible for interruptions, delays or failures arising from services operated by third parties that are outside its reasonable control.

40. Data Protection

VaultaPay processes personal information in accordance with its Privacy Policy.

By using the Services, Customers acknowledge that personal information may be processed for purposes including:

  • account administration;
  • identity verification;
  • fraud prevention;
  • compliance monitoring;
  • customer support;
  • service improvement;
  • legal and regulatory obligations.

41. Limitation of Liability

To the maximum extent permitted by applicable law, VaultaPay shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage, including but not limited to:

  • loss of profits;
  • loss of business opportunity;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data;
  • business interruption.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

42. Customer Responsibility

Customers remain responsible for:

  • maintaining accurate account information;
  • protecting account credentials;
  • reviewing transaction confirmations;
  • complying with applicable laws;
  • notifying VaultaPay promptly of unauthorised activity or suspected security incidents.

43. Indemnity

You agree to indemnify and hold harmless VaultaPay Solutions FZC LLC, its officers, employees, contractors and service providers from claims, losses, damages, liabilities, costs and expenses arising from:

  • your breach of these Terms;
  • misuse of the Services;
  • unlawful activity;
  • infringement of third-party rights;
  • negligent or fraudulent conduct.

44. Force Majeure

VaultaPay shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • labour disputes;
  • pandemics;
  • government action;
  • telecommunications failures;
  • internet outages;
  • power failures;
  • failures of payment systems or blockchain networks.

45. Amendments to these Terms

VaultaPay may amend these Terms from time to time.

Where changes materially affect Customers, reasonable notice will be provided through the Platform or by electronic communication where practicable.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

46. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

47. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Risk Disclosure, AML & KYC Notice and any applicable fee schedule, constitute the entire agreement between the Customer and VaultaPay regarding the use of the Services.

48. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Nothing in these Terms limits the application of mandatory consumer protection, data protection or financial crime legislation that may apply to Customers in other jurisdictions where required by law.

50. Regulatory Information
